On November 20, 2014, the Registrant's Board of Directors accepted the resignation of Richard Rubin as a director of the Registrant. Mr. Rubin resigned in order to pursue other business opportunities. Mr. Rubin had no disagreements with the Registrant's operations, policies or practices.
Mr. Rubin's letter of resignation dated November 20, 2014, is attached hereto as Exhibit 17.2.
