ITEM 8.01. OTHER EVENTS.
S1 Corporation (“S1”) terminated its written trading plan adopted pursuant to Rule 10b5-1 under the Securities Exchange Act of 1934, as amended (the “Exchange Act”) effective as of the open of the financial markets on August 13, 2007. As reported in a Current Report on Form 8-K filed on June 18, 2007, S1 had adopted a written trading plan under Rule 10b5-1 of the Exchange Act in connection with its previously announced stock repurchase program.
