Explanation of Responses:

1. Represents restricted stock units ("RSUs") which will vest in three equal annual installments beginning on the first anniversary of February 23, 2022.

2. Represents 56,524 shares of Common Stock, 88,194 restricted stock units and 81,857 performance stock units that are subject to forfeiture and vesting.

3. In addition to the RSUs described in footnote 1, the Company also granted 37,928 performance-based RSUs that become subject to vesting based upon certain targets. These performance-based RSUs will not be included in the total of column 5 until satisfaction of the performance criteria.
