Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On September 22, 2004, our Board of Directors elected Arthur Gononsky to serve as a Director of our company until our 2004 Annual Meeting of Stockholders. It is expected that Mr. Gononsky will serve on our Compensation Committee and our Audit Committee.
We issued a press release on September 23, 2004 announcing the election of Mr. Gononsky. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
