Leap Announces Proposed Private Placement of $285 Million in Senior Notes
SAN DIEGO — June 1, 2007 —Leap Wireless International, Inc. [NASDAQ:LEAP] today announced that its operating subsidiary, Cricket Communications, Inc., intends to sell, subject to market and other conditions, a total of $285 million aggregate principal amount of 9.375% unsecured senior notes due 2014 through a private placement to qualified institutional buyers pursuant to Rule 144A and Regulation S under the Securities Act of 1933. The notes are an additional issuance of 9.375% unsecured senior notes due 2014 under an indenture dated October 23, 2006, as supplemented, and will be treated as a single class with the $750 million aggregate principal amount of 9.375% unsecured senior notes already outstanding. The notes will be guaranteed on a senior unsecured basis by Leap Wireless International, Inc., and by each of Leap’s and Cricket’s existing and future domestic subsidiaries that guarantees indebtedness of Leap, Cricket or any subsidiary guarantor.
Net proceeds from the offering will be used for general corporate purposes, including the build-out of new markets.
The notes will be offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act and outside the United States pursuant to Regulation S under the Securities Act. The notes will not be registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements.
