ITEM 5.03. AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR
On February 11, 2010, the Board of Directors approved an amendment and restatement of Weyerhaeuser Company’s Articles of Incorporation to delete Article III, Sections 5 through 14, in their entirety, and to restate the articles as set out in the attached exhibit.
