On February 10, 2003, the Registrant issued the press release attached hereto as Exhibit 99.1 announcing the earnings of First Niles Financial, Inc., for the quarter and year-ended December 31, 2002. In the press release, First Niles also announced that its annual meeting of shareholders will be held on Wednesday, April 16, 2003, at 2:00 p.m. at the main office of First Niles, located at 55 North Main Street, Niles Ohio.
