2. Represents all shares of Common Stock owned, consisting of 33,643 shares of Common Stock and 97,908 shares of Common Stock subject to unvested Restricted Stock grants.

3. The option vests in three equal installments on February 15, 2020, February 15, 2021 and February 15, 2022.
