Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
On October 21, 2005, Linda B. Philp announced her intention to resign as Executive Vice President and Chief Financial Officer of Lodgian, Inc. (the "Company") effective December 16, 2005. Following her resignation as an officer of the Company, Ms. Philp is expected to remain working for the Company for up to three days a week through as late as mid-March 2006 to assist with the year-end close, Sarbanes Oxley issues and the filing of the 10K annual report, or until a suitable replacement is found.
Attached as Exhibit 99.1 is a draft of a press release substantially in the form that the Company expects to issue on October 28, 2005.
