(d) Appointment of Directors
Effective March 16, 2007, Parker Seto and Simon Lee were appointed as members of the Company’s Board of Directors. Mr. Seto and Mr. Lee will serve as “independent directors” as the term is defined under NASDAQ Rule 4200(a)(15). Both directors are expected to be named to the Company’s Audit Committee.
There are no transactions or relationships between the Company and Mr. Seto and Mr. Lee in which Mr. Seto or Mr. Lee had or is to have a direct or indirect material interest.
