Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 25, 2019, Cracker Barrel Old Country Store, Inc. (the “Company”) announced that Nicholas Flanagan, the Company’s Senior Vice President of Restaurant and Retail Operations, has resigned in order to join KGEM Golf, Inc./GolfSuites, an emerging golf and entertainment concept.

The Company promoted Michael T. Hackney to succeed Mr. Flanagan as the Company’s Senior Vice President of Restaurant and Retail Operations. Mr. Hackney has been in the restaurant industry for over forty years and joined the Company in April 2010. Since that time, Mr. Hackney has served in a variety of leadership roles in both operations and home office functions, including as a Regional Vice President, the Company’s Vice President of Training and Leadership Development, and, most recently, the Company’s Vice President of People and Talent. Mr. Flanagan will remain with the Company through May 31, 2019 to assist with Mr. Hackney’s transition.
