Explanation of Responses:

1. Mr. DeNaples was granted a stock award under the 2023 Equity Incentive Plan.

2. This amount includes 137.3110 shares acquired individually by Mr. DeNaples and 1,338.5550 shares acquired jointly with his spouse in June 2024 pursuant to the Issuer's Dividend Reinvestment and Stock Purchase Plan ("DRP"). Therefore, Mr. DeNaples owns 11,968.3210 shares individually and 90,740.4050 shares jointly with his spouse.

3. Comprises 2,439 shares held by a business in which Mr. DeNaples is a 33.33% owner with his brother, Louis A. DeNaples.
