Explanation of Responses:

1. The total reported is comprised of: (i) 2,078 shares of common stock; (ii) an award of restricted stock units granted to the reporting person on March 8, 2021, all remaining 199 shares of which are scheduled to vest on March 8, 2024; (iii) an award of restricted stock units granted to the reporting person on March 3, 2022, of which 228 shares are scheduled to vest on March 3, 2024, and 229 units are scheduled to vest on March 3, 2025; (iv) an award of restricted stock units granted to the reporting person on December 8, 2022, of which 138 shares are scheduled to vest on each of December 8, 2023 and December 8, 2024, and 139 shares are scheduled to vest on December 8, 2025; and (v) an award of restricted stock units granted to the reporting person on March 2, 2023, of which 202 shares are scheduled to vest on each of March 2, 2024, March 2, 2025 and March 2, 2026.

2. Restricted stock units are settled with common shares on a one-for-one basis upon vesting and are subject to acceleration in certain circumstances.
