Item 1.01. Entry into a Material Definitive Agreement
On March 14, 2006, the Compensation Committee of the Board of Directors of the Registrant approved the award of cash bonuses to the named executive officers listed below. The amount of the cash bonuses to each individual named executive officer is as follows:
• David J. Field, the Registrant’s President and Chief Executive Officer, will receive a cash bonus of $575,000;
• Stephen F. Fisher, the Registrant’s Executive Vice President and Chief Financial Officer, will receive a cash bonus of $350,000; and
• John C. Donlevie, the Registrant’s Executive Vice President, Secretary and General Counsel, will receive a cash bonus of $125,000.
