ITEM 8.01. Other Events.
On January 20, 2010, Berkshire Hathaway Inc. (“Berkshire”) at a Special Meeting of Shareholders, its shareholders approved amendments to Berkshire’s certificate of incorporation that provide for a 50-for-1 split of its Class B Common Stock. A press release announcing the outcome of the meeting was issued and is attached hereto as Exhibit 99.1 and incorporated by reference herein.
