Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 22, 2021, Mr. John MacIlwaine, who has served on the Board of Directors (the “Board”) of Blucora, Inc. (the “Company”) since 2018, informed the Board that he is resigning from the Board effective immediately. The decision made by Mr. MacIlwaine to no longer serve on the Board is not the result of any disagreement with the Company’s operations, policies, or practices.
Following Mr. MacIlwaine’s resignation, the Board reduced its size from ten to nine directors and, as a result, there is no longer a vacancy on the Board.
Mr. MacIlwaine’s resignation and the decrease in Board size are not expected to impact the Company’s ability to comply with NASDAQ Listing Rules.
