Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) On April 27, 2010, First Place Financial Corp. (Registrant) issued a press release announcing the appointment of Frank J. Dixon to the Board of Directors of the Registrant and First Place Bank, effective April 28, 2010. The appointment of Mr. Dixon increases the size of the Registrant’s Board of Directors to 12 members. Mr. Dixon will serve as a member of the Audit Committee and the Asset Liability/Investment Committee. As is true for all of the Registrant’s Board of Directors, Mr. Dixon will be entitled to receive quarterly and per-meeting director fees and have the option to participate in the Directors’ Deferred Compensation Plan. A copy of the press release announcing the appointment is attached as Exhibit 99.1 to this Current Report on Form 8-K.
