Effective June 30, 2008, First Place Financial Corp. (First Place) acquired OC Financial, Inc. (OC Financial), headquartered in Dublin, Ohio, pursuant to the terms and conditions of the Agreement and Plan of Merger, dated as of April 2, 2008, by and between First Place and OC Financial. The press release, issued on June 30, 2008, announcing the consummation of the acquisition is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
