Explanation of Responses:

1. Time-Based Restricted Stock Units granted on February 12, 2021, with full cliff vesting in three years on February 12, 2024, pursuant to the Issuer's Spirit of Ownership stock program.

2. Shares withheld for payment of tax liability in connection with the vesting of Time-Based Restricted Stock Units pursuant to the Issuer's Spirit of Ownership stock program. The number of shares withheld was based on the closing price of the issuer's common stock on February 12, 2024.
