Item 1.01 Entry Into a Material Definitive Agreement
By agreements dated August 9, 2024, the Company sold its membership interest in its Florida LLC which is engaged in the international sale of fertilizer additives.

On August 12, 2024, the Company issued a press release, filed as Exhibit 99, announcing the sale of its Florida LLC.
