Because of complications encountered by the Company in coordinating the schedules of the various parties who contribute to the filing of the Company's Quarterly Report on Form 10-Q for the period ended March 31, 2011 (the "Form 10-Q"), the Company is currently assembling and processing its documentation, and, therefore the Company will be unable to file the Form 10-Q in a timely manner without unreasonable effort or expense.

The comparative figures will be restated to show little to no revenue in the comparative income statements. The net loss for the three months ended March 31, 2011 is approximately $1,330,000 compared to $419,496 for the same period in 2010. |
