Explanation of Responses:

1. The price reported in Column 4 is a weighted average price. These shares were sold in two transactions at $26.2269 (2,315 shares) and $26.2350 (600 shares).

2. 1,912 restricted shares vested on 3/10/2018 and 1,097 restricted shares vested on 3/14/2018, therefore resulting in the vesting of 3,009 restricted shares. With the grant of 4,297 restricted shares on 3/16/2018, a total of 11,707 of the Reporting Person's shares are subject to vesting under the Issuer's 2012 Stock Incentive Plan.
