Explanation of Responses:

1. On September 10, 2021, Sunstone Hotel Investors, Inc. granted 199,291 restricted shares of common stock to the Reporting Person pursuant to its 2004 Long-Term Incentive Plan, as amended and restated November 1, 2019. Such shares were issued as a one-time signing equity award and will vest in full on September 2, 2022, subject to the satisfaction of certain vesting requirements.
