Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
Appointment of Virgil Llapitan as Director
On August 13, 2023, Virgil Llapitan was appointed as a director by the AppTech Payments Corp. (the “Company”) board of directors (the “Board”) to fill the vacant seat held by Michael Yadgar, who resigned effective June 16, 2023, as previously announced on Form 8-K filed with the Securities and Exchange Commission on June 16, 2023.
There are no arrangements or understandings between Mr. Llapitan and any other person pursuant to which he was appointed as a director, and he has no transactions, relationships or arrangements with the Company that would require disclosure under Item 404(a) of Regulation S-K. Further, there are no family relationships among any of the Company’s directors, executive officers and Mr. Llapitan.
Mr. Llapitan will not be “independent” as defined under applicable rules of Nasdaq and the SEC and is not expected to be appointed to any committee of the Board.
