Explanation of Responses:

1. Grant of restricted stock units, which vest annually in equal installments over a period of three years.

2. Represents shares automatically withheld to satisfy the reporting persons tax liability from the vesting of restricted stock units previously granted to him.

3. Of the shares owned, 189,272 are restricted stock units (including dividend equivalent rights).

4. These shares are held in a trust previously established for the benefit of the reporting persons children. The reporting persons spouse is trustee of the trust. The reporting person disclaims beneficial ownership of these securities, and the filing of this report is not an admission that the reporting person is the beneficial owner of these securities for purposes of Section 16 or for any other purpose.
