1. Represents restricted stock units ("RSUs") granted to the Reporting Person on February 21, 2019 (the "Grant Date"). Each RSU represents a contingent right to receive one share of the Issuer's common stock. The RSU's vest in full on the first anniversary of the Grant Date, subject to continued service with the Issuer through such vesting date.
