Item 5.03 | Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year. |
Effective as of March 25, 2020, the Board of Directors of Golden Entertainment, Inc. (the “Company”) amended the Company’s Fifth Amended and Restated Bylaws to add a new Article 3.4, Remote Communications for Shareholder Meetings, which authorizes the Board of Directors to hold regular or special meetings of shareholders virtually in accordance with Section 302A.436, Subd. 4 of the Minnesota Business Corporations Act. This amendment was made in light of the current restrictions on travel, movement and public gatherings resulting from the COVID-19 outbreak. The foregoing summary is qualified in its entirety by the full text of the Sixth Amended and Restated Bylaws, which are filed as Exhibit 3.1 hereto and are incorporated herein by reference.
