Explanation of Responses:

1. In accordance with recipient's restricted stock unit award agreements, these shares were withheld by Golden Entertainment, Inc. to satisfy minimum statutory income tax withholding obligations upon vesting of restricted stock units.

2. Represents shares "earned" under performance-based restricted stock units (PSUs) granted on 3/14/2018, and represents contingent rights to receive common stock. PSUs that have not been forfeited shall vest on 3/14/2021.

3. Represents time-based restricted stock units (RSUs), which are contingent rights to receive common stock. RSUs that have not been forfeited shall vest as to one third on 3/14/2021, one third on 3/14/2022 and one third on 3/14/2023.

4. Shares are owned directly by The Blake L. Sartini and Delise F. Sartini Family Trust, of which Blake Sartini and Delise Sartini are co-trustees.
