Explanation of Responses:

1. The shares of Class B common stock will automatically convert into shares of Class A common stock at the time of the Issuer's initial business combination, or earlier at the option of the holder, on a one-for-one basis, subject to adjustment as set forth in the Issuer's registration statement on Form S-1 (File No. 333-248411) (the "Registration Statement") and have no expiration date.

2. 1,984 shares of Class B common stock were forfeited by the Reporting Person to the Issuer at no cost in connection with the underwriters' forfeiture of the remaining portion of their over-allotment option, as described in the Registration Statement.
