1. Options issued under this grant vest ratably in equal amounts of 25% per year in years one through four, on April 30th following the initial award date and are subject to forfeiture under the terms and conditions of the grant.

2. Represents a settlement of Performance Stock Units granted as Restricted Stock Units vesting in equal amounts on 04/30/2016 and 04/30/2017 and are subject to forfeiture under the terms and conditions of the grant.

3. RSUs vest ratably in equal amounts of 25% per year in years one through four, on April 30th following the initial award date and are subject to forfeiture under the terms and conditions of the grant.
