Dear Sirs,
We refer to Official Letter 249/2024/CVM/SEP/GEA-1 ("Official Letter"), dated September 16, 2024, through which you request clarification from Braskem S.A. ("Braskem" or "Company"), as follows:
"Mr. Director,
1. We refer to the news published on 09/15/2024, on the InfoMoney news portal, under the title: "Braskem (BRKM5): creditors prepare new attempt to sell petrochemical company", in which the following statements were made:
Amid failed attempts to sell Novonor's (formerly Odebrecht) stake in Braskem (BRKM5) over nearly two years, creditors are working on a new solution, according to a report by Lauro Jardim in the newspaper O Globo.
This time, the attempt has the support of the National Bank for Economic and Social Development (BNDES) and has BTG Pactual (BPAC11) as an intermediary in the negotiations.
According to the columnist, the creditor banks (Bradesco, Itaú, Santander, Banco do Brasil and BNDES) are considering creating a fund in which the credits would be converted into shares in the petrochemical company.
Thus, the banks, together with Petrobras (PETR4), would jointly control Braskem, while Novonor, formerly Odebrecht, would have a stake of less than 5% of the total.
The newspaper also reported that Bradesco and Banco do Brasil are interested in the transaction. Itaú remains reticent, especially after the incident in Maceió, where the collapse of rock salt mines caused the ground to sink in five neighborhoods.
2. In view of the above, we request that you clarify whether the statements contained in the news are true and, if so, the reasons why it understood that it is not a Material Fact, under the terms of CVM Resolution No. 44, of 2021, in addition to commenting on other information considered important on the subject."

In this regard, Braskem emphasizes that it does not conduct any negotiations of the shareholders who are signatories to the Company’s Shareholders’ Agreement (“Shareholders”) regarding their equity stake and clarifies that it is not aware of the information contained in such news, as for this reason, it has questioned its Shareholders, which has informed the following:

"In response to the requested clarifications, Novonor informs that, up to the present moment, there has been no material or binding evolution in the discussions it has been holding with potential interested parties, including creditor banks. Any material evolution in the discussions will be immediately communicated to you, so that you can take the usual measures."
(B) | Petrobras: |
"Petrobras is not aware of any relevant fact pending disclosure to the market, nor is there any decision on the matter by Petrobras, as disclosed by the company in a market announcement on 05/08/2024."
