Arch Chemicals, Inc. (the “Company”) filed as Exhibit 10.1 to its Current Report on Form 8-K, filed on September 3, 2009 (the “Original Report”), a Note Purchase and Private Shelf Agreement, dated August 28, 2009 (the “Agreement”), with Prudential Investment Management, Inc., Gibraltar Life Insurance Co., Ltd, United of Omaha Life Insurance Company and Prudential Retirement Insurance and Annuity Company. The Company is filing this amendment to the Original Report to file a complete set of all schedules and exhibits to the Agreement. A full and complete copy of the Agreement, together with all schedules and exhibits thereto, is filed with this Current Report on Form 8-K/A as Exhibit 10.1.
