1. Represents the closing price of Issuer's common stock on May 12, 2022.

2. The sales reported in this Form 4 were affected pursuant to a Rule 10b5-1 trading plan adopted by the Reporting Person on December 8, 2021 and were accomplished solely to cover the taxes for the vesting noted in footnote 5 below.

3. These shares were sold in ten (10) transactions all at the price indicated.

4. Each restricted stock unit represents the contingent right to receive one share of PROS Holdings, Inc. common stock.

5. These RSUs vested on May 12, 2022, the date of the Issuer's 2022 annual stockholders' meeting.

6. These RSUs will vest on the earlier of May 12, 2023 or the date of the Issuer's 2023 annual stockholders' meeting.
