Explanation of Responses:

1. On October 28, 2021, the reporting person entered into a common stock purchase agreement with the Issuer and purchased 37,037 shares of the Company's common stock, par value $0.001 per share, at the closing market price on October 28, 2021 of $2.70 per share.

2. Includes 1,000,000 shares gifted by the reporting person to his adult daughters in December 2020. The reporting person retained sole voting power over the 1,000,000 shares.
