1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $33.53 to $34.22, inclusive. The reporting person undertakes to provide to KB Home, any security holder of KB Home, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within such range.

2. One-third of this performance-based stock option, or 121,667 options, vested on January 24, 2013, upon a determination that the performance condition was satisfied. The remaining two-thirds of the option, or 243,333 options, vested in two equal annual installments on October 6, 2014 and 2015.
