Item 5.03(a). Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year
On October 25, 2007, the Board of Directors of First Federal Bankshares, Inc. (the “Company”) unanimously approved an amendment to Article V. Section 1. of the Company’s Bylaws to authorize (but not require) uncertificated shares of common stock. As a result of the amendment, which was effective on October 25, 2007, the Company’s shares became eligible for listing on the Depository Trust Company’s Direct Registration System (“DRS”), as required by the NASDAQ stock market for all listed companies.
