Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On April 5, 2023, the Compensation Committee of the Board of Directors of Booking Holdings Inc. (the "Company") adopted a policy (the "Termination Pay Policy") to limit future arrangements to pay cash severance to executive officers of the Company to no more than 2.99 times the amount of the executive officer's annual base salary plus annual target bonus, without stockholder ratification.
