Effective as of the end of the day on June 30, 2008, Robert W. Shaner retired as Chairman of the Company’s Board of Directors. Mr. Shaner will remain as a member of the Company’s Board of Directors. In connection with Mr. Shaner’s retirement as Chairman, the Board of Directors has appointed Michael J. Larson to replace Mr. Shaner as Chairman of the Board of Directors.
The Company issued a press release on July 3, 2008 announcing the retirement of Mr. Shaner as Chairman of the Board of Directors and the appointment of Mr. Larson as Chairman of the Board of Directors, which is attached hereto as Exhibit 99.1 and incorporated by reference into this Item 5.02.
