ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.
On March 6, 2012, Treaty Energy Corporation (“Treaty” or the “Company”) entered into a Management and Geological Consulting Agreement with RedRock Exploration, Inc. (“RedRock”). RedRock has agreed to work with the Company to develop its Belize Exploration Project. Treaty has engaged RedRock to provide management, geological, mud-logging, and post-drilling support services to the Company. The Company has agreed to pay RedRock a monthly consulting fee of $12,000 plus reimbursement for expenses.
