On April 12, 2012, the Board of Directors of the Company accepted the April 11, 2012 resignation of Kaleil Isaza Tuzman, as Chairman and a Member of the Company’s Board of Directors. The Company believes that resignation was effective on April 11, 2012. Mr. Isaza Tuzman advised the Company that his resignation was due to the disagreements described in the letter attached as Exhibit 99.1. A copy of the press release issued by the Company on April 16, 2012 is attached as Exhibit 99.2 to this Current Report on Form 8-K.
