Item 7.01 Regulation FD Disclosure
On December 31, 2004, pursuant to an asset purchase agreement among TransDigm, Skurka Engineering Company (“Skurka Engineering”) and the shareholders of Skurka Engineering, TransDigm acquired substantially all of the assets and certain liabilities of Skurka Engineering for approximately $30 million in cash. A copy of the January 3, 2005 press release announcing the transaction is attached to this report as Exhibit 99.1.
