On June 8, 2003, TransDigm Inc. issued a press release announcing that it has entered into a definitive agreement under which an affiliate of Warburg Pincus and senior members of management will acquire TransDigm from Odyssey Investment Partners. A copy of the press release is attached to this report as Exhibit 99.1.
