Item 5. Other Events.

On July 31, 2004, Greg Santora resigned from the Company’s board of directors, due to the increasing demands on his time placed on him in his role as Chief Financial Officer of Shopping.com. The Company is actively recruiting a replacement for Mr. Santora.
