Item 8.01 – Other Events
On November 14, 2005, LookSmart, Ltd. (the “Company”) received verbal confirmation from the Nasdaq Listing Qualifications Staff that the Company has regained compliance with the minimum bid price requirement of Marketplace Rule 4450 (a)(05), and that the Listing Qualifications Hearing Panel would therefore give no further consideration to the Company’s failure to comply with the minimum bid price listing requirement.
