Item 1.01 – Entry into a material definitive agreement
On November 15, 2006, LookSmart, Ltd. promoted Yolanda Loh to Vice-President, Advertising Sales for the Company effective as of November 6, 2006. Ms. Loh’s employment is subject to the terms and conditions set forth in the promotion letter, a copy of which is filed herewith as Exhibit 99.1.
