ITEM 5. OTHER EVENTS AND REGULATION FD DISCLOSURE.
On June 20, 2003, Wisconsin Energy Corporation issued a press release announcing that Allen L. Leverett, currently chief financial officer of Georgia Power Company, a subsidiary of Southern Company, is named chief financial officer of Wisconsin Energy Corporation, effective July 1, 2003. Leverett was also named the chief financial officer of Wisconsin Electric Power Company and Wisconsin Gas Company. A copy of the press release is attached hereto as Exhibit 99.1.
