At Wisconsin Electric Power Company's (the "Company") 2011 Annual Meeting of Stockholders held on April 28, 2011, the nine incumbent directors listed in the Company's Information Statement dated April 1, 2011, who constitute the entire board, were re-elected for terms expiring in 2012. We did not solicit proxies for the meeting as the Company's parent, Wisconsin Energy Corporation, owns more than 99% of the Company's voting securities.
