Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On October 27, 2020, the Board of Directors of each of Alliant Energy Corporation, Interstate Power and Light Company and Wisconsin Power and Light Company (collectively, the “Companies”) approved an amendment and restatement of the Amended and Restated Bylaws of each of the Companies, effective October 27, 2020.
In addition to removing gender references and making other clarifications, the changes to each of the Companies’ Amended and Restated Bylaws include that Board compensation will be determined by the Nominating and Corporate Governance Committee with discussion and concurrence by the Board of Directors, without the need for a prior recommendation by the Compensation and Personnel Committee. Additionally, with respect to the Amended and Restated Bylaws of Alliant Energy Corporation, the time period in which notice of an annual meeting must be given to stockholders was changed from “not less than ten days nor more than seventy days” before the annual meeting to “not less than ten days nor more than sixty days,” which is the default time period provided by the Wisconsin Business Corporation Law.
