Item 8.01. Other Events

On December 7, 2006 Theravance, Inc. announced that it submitted a New Drug Application to the U.S. Food and Drug Administration for telavancin, a rapidly bactericidal injectable antibiotic, for the treatment of complicated skin and skin structure infections caused by Gram-positive bacteria. A copy of the press release is filed as Exhibit 99.1 to this report and is incorporated herein by reference.
