Item 8.01 Other Events.
On August 17, 2007, a securities fraud class action lawsuit was filed in the United States District Court for the Central District of California by Carl Waldrep, on behalf of himself and all others similarly situated, presuming to represent all persons who purchased or otherwise acquired the common stock of ValueClick, Inc. ("the Company") between November 1, 2006 and July 27, 2007. The lawsuit alleges violations of federal securities laws and is brought against the Company, its Executive Chairman and its Chief Administrative Officer. Since August 17, 2007 and through the date of this filing, other purported plaintiffs have filed similar actions. The Company believes that these lawsuits, and any similar lawsuits which may be filed prospectively, are all related and will ultimately be consolidated into one action. The Company intends to defend itself vigorously.
